The following terms of use govern your access to and use of services and tools provided by DirectOffers. By using DirectOffers in any way, you agree to be bound by and comply with these terms of use. If you are using DirectOffers on behalf of another person or a corporate entity, you represent and warrant that you have the authority to bind such person or entity to these Terms of Use.

Changes to these Terms of Use and DirectOffers

Except where prohibited by applicable law, we reserve the right, in our sole discretion, to change any element of these Terms of Use at any time. When we change these Terms of Use, we will notify you by email or by posting a notice on the Website. Your continued access to or use of DirectOffers after any changes to these Terms of Use indicates your acceptance of such changes.

User Account

To access certain features, you must sign up for a user account. You will keep your login credentials secure and will not share them. You are solely responsible for any and all use of your User ID and all actions and activities that occur under your account.

Description of Services

DirectOffers is an AI-assisted platform that helps home buyers prepare and submit real estate offers. It changes the workflow, not the representation: you drive the property search and the terms of your offer, our AI prepares the paperwork, and a licensed real estate professional reviews it and submits it on your behalf.

Every offer prepared through DirectOffers is assigned to a licensed real estate professional (a "REALTOR®") from our network of licensed affiliates, who represents you in connection with that offer. Your assigned REALTOR® reviews the offer before it is submitted and will contact you directly with any questions or concerns. DirectOffers is not a way to make an offer without professional representation.

Your Assigned REALTOR® and Representation Agreement

(a) Assignment. When you begin an offer on a property, we assign a licensed real estate professional (a "REALTOR®") from our network of licensed affiliates to act for you on that offer. You will be told who your assigned REALTOR® is, and which brokerage they are registered with, before the offer is submitted.

(b) Review. Your assigned REALTOR® reviews every offer prepared through the platform before it is delivered to the seller's brokerage. They may contact you with questions, corrections, or concerns, and they may decline to submit an offer they consider incomplete, inaccurate, unlawful, or inconsistent with their professional obligations. AI-generated content never replaces that review.

(c) A representation agreement is required. A brokerage cannot represent you without a written agreement. Before your offer is submitted, you must review and sign a buyer representation agreement with the brokerage your assigned REALTOR® is registered with. Where the law of the province in which the property is located requires it, you will also be given the applicable regulator's consumer information guide before you enter into that agreement. If you do not sign, we cannot submit the offer on your behalf.

(d) Scope — non-exclusive, and limited to one property. The representation agreement you sign through DirectOffers is:

  • Non-exclusive — it does not stop you from working with any other REALTOR® or brokerage at the same time, and it does not commit you to bring future purchases to us.
  • Property-specific — it applies only to the property identified in that agreement and to the offer or offers you make on it. It does not attach to any other property you view, offer on, or purchase.

Each new property means a new representation agreement. The signed agreement governs the relationship; if anything in these Terms of Use conflicts with it, the signed agreement prevails.

(e) Changes to this model. We may in future offer other forms of representation agreement — for example, a non-exclusive agreement that runs for a period of time rather than being tied to a single property. We will not move you onto a different agreement without presenting it to you and obtaining your separate written consent.

(f) What representation covers. Your assigned REALTOR® acts for you on the offer. Unless we agree otherwise in writing, the engagement does not include property search, showings, in-person attendance, opinions of market value, or ongoing advisory services. Your REALTOR® is not your lawyer, lender, home inspector, or financial advisor, and you should obtain independent legal, financing, and inspection advice.

(g) Remuneration. How the brokerage and your assigned REALTOR® are paid — and any rebate or credit payable to you — is set out in the representation agreement and the fee terms presented to you before you sign.

(h) More than one party represented. If the brokerage acting for you also represents the seller of a property you are offering on, more than one party to the transaction is represented by the same brokerage. Where applicable law requires it, we will disclose this to you in writing and obtain your consent before proceeding, and you may decline.

(i) Identity verification. Federal anti-money-laundering requirements (FINTRAC) require the brokerage to verify your identity and keep records before acting for you on a transaction.

AI-Assisted Services & Limitations

DirectOffers utilizes artificial intelligence to guide users. While our AI systems are designed to be helpful, you acknowledge that:

  • AI-generated content may contain errors or inaccuracies.
  • AI guidance should not be considered legal or professional advice.
  • You are solely responsible for reviewing and verifying all information before submitting an offer.
  • You should consult with qualified professionals (e.g., lawyers, financial advisors) as needed.

DirectOffers does not guarantee the accuracy or suitability of any AI-generated content. AI output is a drafting aid, not representation and not professional advice. Your assigned REALTOR®'s review is the professional check on every offer.

User Responsibilities

When using DirectOffers, you agree that:

  • You are solely responsible for the accuracy of all information you provide.
  • You understand the terms and conditions of any offer you submit.
  • You will review all documents with a qualified real estate lawyer before signing.
  • You understand the financial and legal implications of submitting a real estate offer.
  • You will sign a representation agreement for each property you make an offer on, before that offer is submitted.
  • You will respond to your assigned REALTOR®'s questions about an offer before it is submitted.

Third-Party Standard Forms

Offers and related documents created with DirectOffers incorporate standard real estate forms and clauses that are the copyrighted property of their publishers — the provincial and local real estate associations and boards whose forms apply to your transaction, such as the Ontario Real Estate Association (OREA). Those forms and clauses are made available only for use within DirectOffers, and only in the course of a transaction in which a licensed REALTOR® has been assigned to represent you under a signed representation agreement. Every standard form generated through DirectOffers is prepared for, reviewed by, and submitted through your assigned licensed REALTOR®.

You must not extract, copy, redistribute, resell, or transfer the blank form templates or clause libraries to any other product, platform, or third party, and you must not remove or alter any copyright, trademark, or form-identifier notices they contain.

DirectOffers is an independent product of AI Offers Inc. and is not affiliated with, endorsed by, or sponsored by any real estate association, board, or forms publisher. Form names and trademarks are the property of their respective owners.

Limitation of Liability

To the maximum extent permitted by law, DirectOffers shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, resulting from your use of the platform, any errors in AI-generated content, or any real estate transactions conducted using our services.

Nothing in these Terms of Use limits any obligation the brokerage or your assigned REALTOR® owes you under applicable real estate legislation, or under any other law that does not permit that obligation to be limited.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario.
